Terms and Conditions Agreement

We are Mint Link Traveltech Solutions Ltd, an Irish company with registered office at Landscape House, Baldonnell Business Park, Dublin 22, D22 P3K7, Ireland ("Mint Link", "we", "us", "our"), operating the platform Mint Link (the "Platform") and the website mint.link (the "Site"), together with any related products and services that refer or link to these legal terms (the "Legal Terms") (collectively, the "Services").

These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and Mint Link, concerning your access to and use of the Services.

These Legal Terms apply exclusively to business customers. By accepting these terms, you confirm that you are acting in a professional capacity and not as a consumer.

You agree that by accessing the Services, you have read, understood, and agreed to be bound by all of these Legal Terms.

IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

Supplemental terms and conditions or documents that may be posted on the Services from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Legal Terms from time to time. We will alert you about any changes by updating the "Last updated" date of these Legal Terms, and you waive any right to receive specific notice of each such change.

It is your responsibility to periodically review these Legal Terms to stay informed of updates. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Legal Terms by your continued use of the Services after the date such revised Legal Terms are posted.

The Services are intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to use or register for the Services.

In certain cases, services may be provided or supported by our affiliated company Mint Link SL, Calle Lepant 270, 08013 Barcelona, Spain ("Mint Link SL"), acting as our intra-group service provider. Your contractual counterparty under these Legal Terms remains Mint Link Traveltech Solutions Ltd unless expressly stated otherwise in an order form.

We recommend that you print a copy of these Legal Terms for your records.

1. Our Services

Mint Link provides a software-as-a-service (SaaS) platform designed for project management, coordination, and operational execution within the Meetings, Incentives, Conferences, and Exhibitions (MICE) industry.

The Services include, without limitation:

(a) Project Management SaaS Tools

Tools for planning, organizing, tracking, and executing MICE-related projects, including workflows, task management, timelines, collaboration tools, vendor coordination, budgeting support, and reporting functionality.

(b) Digital Collaboration & Coordination Tools

Features enabling communication, document sharing, stakeholder coordination, and operational visibility across event teams, agencies, and clients.

(c) AI-Powered Features (see Section 2A below)

Automated tools powered by artificial intelligence, including but not limited to: cost sheet and itinerary generation, supplier suggestions, planning assistance, budgeting estimations, workflow optimization, text generation, summarization, and decision-support outputs.

(d) Third-Party Directory Access (Suppliers Base) (see Section 2B below)

Access to a curated database of Destination Management Companies ("DMCs") and other MICE suppliers and related service providers for informational and discovery purposes only.

The Platform may also provide tools and functionalities that enable users to communicate with, and submit inquiries or requests to such suppliers directly through the Platform. The Platform acts solely as a technology intermediary facilitating such connections and communications and is not a party to, nor responsible for, any discussions, negotiations, agreements, transactions, services, or outcomes arising from interactions between users and suppliers.

The information provided when using the Services is not intended for distribution or use in jurisdictions where such use would be unlawful or require additional registration.

2A. AI-Powered Features and Disclaimers

The Services include artificial intelligence and machine-learning-based features that generate outputs such as recommendations, text, planning suggestions, supplier matches, budgeting estimates, and operational insights.

You acknowledge and agree that:

• AI-generated outputs are provided for assistance purposes only
• Outputs may be incomplete, or inaccurate
• AI outputs do not constitute professional, legal, financial, or operational advice
• You remain solely responsible for verifying all AI-generated outputs before relying on them
• We do not guarantee the accuracy, reliability, or suitability of AI outputs for any specific event, project, or use case

We are not liable for any decisions, actions, or omissions taken based on AI-generated content.

2B. Third-Party Supplier Base Disclaimer

The Services may include access to a directory, listing, or database of DMCs, vendors, suppliers, or other third-party service providers.

You acknowledge and agree that:

• Third-party providers are independent entities not controlled by Mint Link
• Listings do not constitute endorsement, recommendation, or warranty of any provider
• We do not guarantee the accuracy of any provider information (including pricing, availability, certifications, licensing, or service quality)
• Any engagement, contract, payment, or arrangement with a third-party provider is solely between you and that provider
• Mint Link bears no responsibility or liability for any act, omission, performance, failure, dispute, or loss arising from such third-party relationships

You are solely responsible for performing your own due diligence before engaging any third-party service provider.

3. Intellectual Property Rights

Our Intellectual Property

We are the owner or the licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, text, graphics, audio, video, and other content made available through the Services (collectively, the "Content"), as well as the trademarks, service marks, and logos contained therein (the "Marks").

Our Content and Marks are protected by copyright, trademark, and other intellectual property laws and treaties.

The Content and Marks are provided in or through the Services on an "AS IS" basis for your internal business use only.

Your Use of Our Services

Subject to your compliance with these Legal Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• access and use the Services; and
• download or print a copy of any portion of the Content to which you have properly gained access, solely for your internal business purposes.

Except as expressly permitted in these Legal Terms, no part of the Services and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.

We reserve all rights not expressly granted to you in and to the Services, Content, and Marks.

4. User Representations

By using the Services, you represent and warrant that:

• all information, data, content, documents, and materials you submit, upload, input, or otherwise provide through the Services are true, accurate, current, and complete;
• you own, control, or otherwise possess all necessary rights, licenses, permissions, consents, and legal authority required to submit, upload, use, process, share, and authorize the Platform to process such information, data, content, documents, and materials in connection with the Services, and that such use does not infringe, misappropriate, or otherwise violate the rights of any third party or any applicable law;
• you will maintain the accuracy of such information and promptly update it as necessary;
• you have the legal capacity and authority to enter into these Legal Terms;
• you are not a minor in the jurisdiction in which you reside;
• you will not access the Services through automated or non-human means except as expressly authorized;
• you will not use the Services for any illegal or unauthorized purpose; and
• your use of the Services will not violate any applicable law or regulation.

If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any current or future use of the Services.

5. Prohibited Activities

You may not access or use the Services for any purpose other than that for which we make the Services available.

As a user of the Services, you agree not to:

• systematically retrieve data or other content from the Services without permission;
• trick, defraud, or mislead us or other users;
• circumvent, disable, or otherwise interfere with security-related features of the Services;
• use any information obtained from the Services to harass, abuse, or harm another person;
• make improper use of support services or submit false reports of abuse or misconduct;
• use the Services in a manner inconsistent with applicable laws or regulations;
• upload or transmit viruses, malware, or other harmful material;
• engage in unauthorized automated use of the system;
• attempt to impersonate another user or person;
• interfere with or disrupt the Services or connected networks;
• attempt to bypass measures designed to prevent or restrict access to the Services;
• reverse engineer or decompile any part of the Services except as permitted by law;
• use the Services to compete with us or for unauthorized commercial purposes; or
• use the Services to advertise or offer goods and services unrelated to the intended purpose of the platform.

6. Services Management

We reserve the right, but not the obligation, to:

• monitor the Services for violations of these Legal Terms;
• take appropriate legal action against anyone who violates applicable laws or these Legal Terms;
• refuse, restrict access to, or disable any content or account in our sole discretion;
• remove files or content that are excessive in size or burdensome to our systems; and
• otherwise manage the Services in a manner designed to protect our rights and ensure the proper functioning of the Services.

7. User Data and Privacy

We may maintain certain data that you transmit to the Services for the purpose of managing the performance and operation of the Services.

Although we perform regular backups, you are solely responsible for all data you transmit or that relates to activities you undertake using the Services.

We care about data privacy and security. By using the Services, you agree to any applicable privacy policy made available through the Services.

You acknowledge that your information may be transferred to, stored, and processed in jurisdictions where data protection laws may differ from those in your jurisdiction.

Data Processing Agreement

Where Mint Link processes personal data on behalf of a customer in the context of providing the Services (including project management, event coordination, attendee management, supplier management, and related MICE workflows), the parties acknowledge and agree that:

• the customer acts as the Data Controller; and
• Mint Link acts as a Data Processor within the meaning of applicable data protection laws, including the GDPR.

Such processing shall be governed by the Mint Link Data Processing Agreement ("DPA"), which is incorporated into and forms an integral part of these Legal Terms.

By accepting these Legal Terms, you also accept the DPA on behalf of the entity you represent.

To the extent of any conflict between these Legal Terms and the DPA with respect to data processing, the DPA shall prevail.

8. Term and Termination

These Legal Terms shall remain in full force and effect while you use the Services.

WITHOUT LIMITING ANY OTHER PROVISION OF THESE LEGAL TERMS, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SERVICES TO ANY PERSON FOR ANY REASON OR FOR NO REASON, INCLUDING FOR BREACH OF THESE LEGAL TERMS OR APPLICABLE LAW.

We may terminate your use of the Services or delete your account at any time, without warning, in our sole discretion.

If we terminate or suspend your account, you are prohibited from creating a new account under your name or the name of any third party.

9. Modifications and Interruptions

We reserve the right to change, modify, or remove the contents of the Services at any time or for any reason without notice.

We cannot guarantee the Services will be available at all times. We may experience hardware, software, or other problems resulting in interruptions, delays, or errors.

You agree that we have no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access or use the Services during any downtime or discontinuance.

10. Governing Law

These Legal Terms are governed by and interpreted in accordance with the laws of Ireland, without regard to conflict of law principles.

The application of the United Nations Convention on Contracts for the International Sale of Goods is excluded.

11. Dispute Resolution

Informal Negotiations

Before initiating formal legal proceedings, the parties agree to attempt to resolve any dispute informally for at least thirty (30) days following written notice.

Jurisdiction and Venue

Any dispute arising out of or relating to these Legal Terms or the Services shall be subject to the exclusive jurisdiction of the courts of Ireland.

Exceptions

Nothing in this section shall prevent either party from seeking injunctive or equitable relief to protect intellectual property rights or confidential information.

12. Corrections

We reserve the right to correct any errors, inaccuracies, or omissions in the Services at any time without prior notice.

13. Disclaimer

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING WITH RESPECT TO:

• SaaS project management functionality
• AI-generated outputs and recommendations
• Third-party DMC or supplier listings

We make no warranties regarding accuracy, reliability, or suitability for any specific purpose.

14. Limitations of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• We are not liable for any reliance on AI-generated outputs
• We are not liable for any third-party DMC or supplier actions, omissions, or disputes
• We are not liable for project outcomes, event execution results, or business decisions made using the Services

Our total liability remains limited as previously stated.

15. Indemnification

You agree to defend, indemnify, and hold harmless the Company and its affiliates, officers, employees, agents, and partners from and against any loss, damage, liability, claim, or demand arising out of:

• your use of the Services;
• your breach of these Legal Terms;
• your violation of applicable laws or regulations; or
• your infringement of any third-party rights.

We reserve the right to assume exclusive control of any matter subject to indemnification by you.

16. Electronic Communications, Transactions, and Signatures

Visiting the Services, sending emails, and completing online forms constitute electronic communications.

You consent to receive electronic communications and agree that all agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement that such communication be in writing.

17. Miscellaneous

These Legal Terms constitute the entire agreement between you and us regarding the Services.

Our failure to enforce any right or provision of these Legal Terms shall not operate as a waiver of such right or provision.

If any provision of these Legal Terms is determined to be unlawful, void, or unenforceable, that provision shall nevertheless be enforceable to the maximum extent permitted by law, and the unenforceable portion shall be deemed severed from these Legal Terms.
